Partner Program Terms

Effective date:

Draft pending attorney review. These Terms may change before they are final. Version 2026-10-13-draft. When you sign up, we record this version, the time and your IP address.

1. Who these Terms are between

These Partner Program Terms are between SkyRaileon LLC, a Florida limited liability company doing business as Raileon ("Raileon", "we", "us"), and you, the person joining the Partner Program ("Partner").

You accept them by ticking the box when you sign up. They sit alongside the Raileon Terms of Service and Privacy Policy. If they conflict on the Partner Program, these Terms win.

The program is free. There are no fees, kits, purchases, quotas or paid tiers.

2. Who can join

You must be 18 or older and live in the United States. You confirm this when you sign up.

Current Raileon clients can join. Raileon team members and contractors cannot.

One account per person.

3. How a referral is credited to you

A referral is a business you bring to Raileon that is not already in our pipeline. It is credited to you in one of four ways: a visitor uses your link (a cookie lasts 90 days), you submit the business in your dashboard, the business names you in the "Who referred you?" box when booking, or Raileon staff record it for you.

The first valid claim on a business wins and holds for 90 days. If two partners claim the same business, the earliest valid timestamp wins.

A business is not eligible if it is already a Raileon client, is already claimed by another partner, or was in an active sales conversation with Raileon in the last 90 days.

You cannot refer your own company or your employer. That would be a discount or kickback, not a referral.

Raileon decides disputes about duplicates and credit. We may override the earliest-timestamp rule, and when we do we record the reason.

4. When a client qualifies

A referred business becomes a qualified client only when all of these are true:

1. It signed a Raileon agreement.

2. It paid Raileon at least $1,500 in total (setup, build or first month) during its first 30 days.

3. Thirty days have passed since its first payment.

4. In those 30 days there was no cancel notice, refund or chargeback.

Whether a business signs, and on what terms, is Raileon's decision.

5. Commission amounts

Level 1: when a business you referred becomes a qualified client, we owe you $999, once.

Level 2: when a partner you recruited has a referral that becomes a qualified client, we owe you $250, once, for that client.

There are two levels only. Nothing is paid for partners further down the line.

Signing up a new partner earns $0. Level 2 money exists only when that partner lands a paying client.

Each client pays out once, ever. If a client leaves and returns, nothing new is owed.

Your Level 2 upline is set once when you sign up and never changes.

Commissions are paid in cash. These amounts are program rules. They are not a promise or an estimate of what anyone will earn.

6. Payouts and taxes

Approved commissions are paid on the 15th of each month through Stripe Connect.

You must finish payout setup with Stripe before you can be paid. Stripe collects your bank details and tax form (W-9) and issues any Form 1099. Raileon does not collect or store your Social Security number or bank numbers.

If payout setup is not done, no payout is made. Approved money waits until setup is done.

You are responsible for your own taxes. Raileon does not withhold taxes.

7. Refunds and chargebacks

If a client is refunded or charges back within 90 days after we pay you for it, we reverse that commission. We take it from your next payouts.

If the refund or chargeback happens before we pay you, the commission is cancelled.

8. What you must not do

Do not send spam or contact people in breach of the law (including CAN-SPAM and the Telephone Consumer Protection Act).

Do not say anything false or misleading about Raileon, its services, prices or results.

Do not make income claims about the program.

Do not refer yourself, your employer or a business you own or control, and do not create fake accounts or businesses.

Do not share your commission with a client or offer them a discount, gift or kickback to sign up.

Do not bid on Raileon brand names or close variants in paid search, or register domains or handles that use them.

Do not impersonate Raileon or its team, or imply you work for us.

Do not charge anyone to join the program or sell kits or training about it.

9. Tell people you are paid

If you share your link or code, you must clearly say you are paid for referrals. The FTC requires it. Put the disclosure next to the link, in plain words.

Example: "I get paid if you sign up with Raileon through my link."

Only say what is true and what you have seen yourself.

10. You are independent

You are an independent contractor. You are not an employee, partner or legal representative of Raileon. You cannot sign for us, make promises for us, or set prices or terms.

You decide how and when to refer. We do not control your methods or provide equipment or benefits.

11. Confidentiality

Keep non-public information about Raileon and its clients private. That includes pricing, client names we have not made public and anything you see in the program's tools.

Share a business's details with us only if it is fine with that business.

12. Suspension and leaving

You can leave at any time. Commissions already approved before you leave are still paid, subject to the refund rules above.

We can suspend or end your account for fraud, a breach of these Terms, a false statement, or conduct that harms Raileon or its clients. No commission is owed on a fraudulent or rule-breaking referral. A suspended partner is not paid while suspended.

13. Changes to the program

We may change these Terms or the program, including amounts and payout timing. We will give notice by email and in your dashboard before a change takes effect. A change applies to referrals credited after it takes effect.

14. Disputes and governing law

Contact us first and we will try to settle any dispute informally. These Terms are governed by the laws of the State of Florida. The forum and any arbitration terms are to be confirmed.

15. Limits on our liability

The program is provided as is. We do not promise that any referral will become a client or that you will be paid anything.

To the extent the law allows, our total liability to you under these Terms is limited to commissions that were approved and unpaid at the time of the claim, and we are not liable for indirect or consequential damages.
